Netflix, Inc. (Nasdaq:NFLX) said it intends to offer, subject to market and other considerations, approximately $2.0 billion aggregate principal amount of U.S. dollar denominated and euro denominated senior unsecured notes. The notes will be issued in two series through an offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.
The interest rate, redemption provisions, maturity date and other terms of each series of Notes will be determined by negotiations between Netflix and the initial purchasers.
